Spell Agency grants you a limited, non-exclusive, non-transferable license to access our AI services for your internal business operations.
- Reverse engineering our models, algorithms, or API endpoints
- Using services to generate illegal, harmful, or abusive content
- Reselling API access without an Enterprise License Agreement
- Attempting to circumvent usage limits or security measures
Intellectual property rights
The foundational architecture, pre-training methodologies, UI/UX design, and platform code remain the exclusive property of Spell Agency.
Fine-tuned model weights, training data, and all AI-generated content specific to your deployment remain your sole property. Forever.
Payment & billing
- All fees are billed monthly in advance unless otherwise agreed in writing
- Overages (API calls beyond plan limits) are billed at the end of each billing cycle
- Late payments may result in service suspension after 15 days
- Cancel anytime — you keep access and code through the end of your billing period
Limitation of liability
While our models are trained on vast datasets and tested rigorously, we cannot guarantee 100% accuracy in all contexts. Spell Agency is not liable for business decisions made based solely on AI predictions.
Termination & data deletion
Either party may terminate this agreement with 30 days' written notice. Upon termination:
- You retain access to services through the end of your billing period
- All custom model weights and code are transferred to you within 72 hours
- All proprietary data is cryptographically deleted from our systems
